WiseStamp Code of Conduct, Ethical Behavior, and Business Conduct Policy

This Code of Conduct (the “Code”) establishes the fundamental principles of ethical behavior and business conduct for all employees, contractors, and representatives of WiseStamp Technologies Ltd. and WiseStamp Inc. (each of them and together, the “Company” or “WiseStamp”).

WiseStamp is committed to maintaining the highest standards of integrity, compliance, and professionalism in all aspects of our operations. This Code serves as a comprehensive framework to ensure the preservation of trust with our customers, partners, shareholders, and the broader community.

  1. Ethical Behavior and Business Conduct:
  • All employees, contractors, and representatives are required to fully comply with applicable laws, regulations, and industry standards relevant to our operations globally.
  • Employees, contractors, and representatives must promptly report any potential violations or concerns regarding legal or regulatory compliance to the appropriate authorities within the company.
  1. Protection of Customer Data and Privacy:
  • We prioritize the protection of customer data and privacy rights as paramount.
  • Employees, contractors, and representatives must adhere strictly to the data protection and privacy principles outlined in our internal policies and our Privacy Policy.
  • Compliance with ISO 27001 and ISO 27018 standards is mandatory for all employees, contractors, and representatives involved in handling sensitive information.
  • Any incidents or breaches involving customer data must be reported immediately to the Company’s CISO and Head of Legal for investigation and resolution.
  1. Professional Integrity and Conduct:
  • Employees, contractors, and representatives are expected to uphold the highest standards of honesty, integrity, and professionalism in all business dealings.
  • Conflicts of interest, whether actual, potential, or perceived, must be disclosed promptly and managed transparently.
  • Discrimination, harassment, or any form of unethical behavior, including bribery and corruption, will not be tolerated under any circumstances.
  1. Confidentiality and Intellectual Property Protection:
  • Employees must maintain strict confidentiality regarding proprietary information, trade secrets, and intellectual property belonging to WiseStamp, its customers, and partners.
  • Unauthorized disclosure or misuse of confidential information is strictly prohibited and may result in legal action.
  1. Transparency, Accuracy, and Fair Dealing:
  • We are committed to transparency, accuracy, and fairness in all business communications, transactions, and relationships.
  • Employees, contractors, and representatives must ensure that all information provided to stakeholders, including customers, investors, and regulatory bodies, is truthful, complete, and not misleading.
  • Fair competition principles must be upheld, and employees, contractors, and representatives must refrain from engaging in any activities that may give rise to conflicts of interest. 
  1. Environmental and Social Responsibility:
  • We recognize our responsibility to minimize environmental impact, promote sustainable practices throughout our operations and support community welfare efforts. We provide recycling means throughout our premises for the use of employees, contractors and representatives.
  • WiseStamp is committed to upholding the highest standards of human rights, diversity, and inclusion and to operate in a socially responsible manner in all aspects of our business activities. We believe that every individual deserves to be treated with respect and dignity, regardless of their race, gender, age, religion, sexual orientation, disability, or any other characteristic that makes them unique. We strive to create an inclusive environment where diverse perspectives are not only welcomed but also valued, as they drive innovation and growth. Discrimination, harassment, and any form of unfair treatment are strictly prohibited, and we are dedicated to fostering a culture of equity and belonging for all employees, partners, and stakeholders globally.
  1. Non-Discrimination and Anti-Harassment:

WiseStamp is committed to providing a work environment free from discrimination and harassment, and maintaining a workplace where all employees are treated with dignity, respect, and fairness. Discrimination and harassment, including sexual harassment, are prohibited and will not be tolerated within our organization. This Policy intends to add to any legal obligations with respect to anti-discrimination and anti-harassment. 

Discrimination and harassment are defined as unwelcome conduct, whether verbal, physical, or visual, based on an individual’s race, color, religion, sex, gender identity, sexual orientation, national origin, age, disability, genetic information, marital status, veteran status, or any other characteristic protected by applicable law. Prohibited conduct includes, but is not limited to:

  • Verbal harassment, including derogatory comments, slurs, or jokes related to a person’s protected characteristic;
  • Physical harassment, including unwanted touching, assault, or interference with an individual’s work performance;
  • Visual harassment, including displaying or circulating offensive pictures, posters, or emails;
  • Sexual harassment, including unwelcome sexual advances, requests for sexual favors, or other verbal, physical, or visual conduct of a sexual nature;
  • Retaliation against individuals who report discrimination or harassment or participate in an investigation of such complaints.

WiseStamp will provide training and education to all employees on their rights and responsibilities under this Policy.

  1. Reporting Mechanisms and Non-Retaliation:
  • Employees, contractors, and representatives are encouraged to report any violations of this Code, ethical concerns, or suspected misconduct through established reporting channels, which may include management, their supervisor, manager, Human Resources, or Legal. Confidentiality will be maintained to the extent possible.
  • All reports of discrimination or harassment will be promptly and thoroughly investigated. Investigations will be conducted in a fair, impartial, and confidential manner. WiseStamp will take appropriate corrective action against individuals found to have engaged in discrimination or harassment, up to and including termination of employment.
  • WiseStamp prohibits retaliation against individuals who report violations or participate in investigations in good faith. Any employee/contractor found to have engaged in retaliation will be subject to disciplinary action, up to and including termination of employment/engagement.
  1. Continuous Improvement and Accountability:
  • We are committed to regularly reviewing and enhancing our ethical standards, policies, and practices to adapt to changing regulatory requirements and industry best practices.
  • All employees, contractors and representatives are accountable for their adherence to this Code and are expected to participate in training programs to reinforce ethical behavior and compliance awareness.

By embracing and embodying the principles outlined in this Code, each member of the WiseStamp team plays a vital role in safeguarding our reputation. Failure to comply with this Code may result in disciplinary action, up to and including termination of employment or contract.
